Affiliate Program Terms

1. Introduction

1.1 About the Program

The SAMI-X Affiliate Program (hereinafter "Program") allows approved participants (hereinafter "Affiliates") to earn commissions by referring new customers to SAMI-X. These terms govern your participation in the Program.

By applying to or participating in the Program, you agree to be bound by these terms. If you do not agree, do not apply for or participate in the Program.

2. Eligibility and Application

2.1 Eligibility Requirements

To participate in the Program, you must:

• Be at least 18 years old
• Have a valid SAMI-X account
• Have an active SAMI-X subscription when you join: a membership (SAMI International, Single Membership or Full Membership), the Instructor License, a training plan or a company subscription. The subscription is checked when you apply; if it ends later, your commissions continue
• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Not be a competitor of SAMI-X

2.2 Application Process

• Applications are submitted through your SAMI-X account
• All applications are subject to manual review
• SAMI-X reserves the right to accept or reject any application at its sole discretion
• Approval decisions are typically communicated within 1-2 business days

2.3 Affiliate Code

Upon approval, you will receive a unique affiliate code. You may request a custom code during application, subject to availability. Codes are non-transferable.

3. Commission Structure

3.1 Commission Rates

• Default Commission Rate: 10% of the commission base defined in Section 3.3. It applies to memberships, online courses, live trainings, guided trainings and bundles
• In-person seminars: 0% — they are excluded from commissions
• Tier bonus: If your non-cancelled commissions over the last 30 days reach at least €500 (Silver), €1,500 (Gold) or €5,000 (Platinum), the rate for new commissions increases by 2, 5 or 10 percentage points respectively. Your tier is recalculated daily. Products at 0% receive no bonus
• SAMI-X may offer individual commission rates to selected partners

3.2 Membership Commissions

For recurring membership subscriptions:

• Commission duration may be limited (first payment, first 3 payments, or unlimited)
• Specific terms are communicated upon approval or when individual rates are set

3.3 Commission Calculation

• The commission base is the amount actually paid by the customer (after discounts and coupons) excluding VAT, minus the fee of the payment channel:
• Payment via Stripe: a flat 2.9% of the amount paid plus €0.30 (or the corresponding fixed amount in other currencies)
• Purchase in the App Store (Apple): 30% of the amount excluding VAT
• Purchase via Google Play: 15% of the amount excluding VAT
• VAT is taken from the figures provided by Stripe or the app stores
• For purchases in currencies other than EUR, commissions are converted using daily exchange rates
• All commissions are paid in EUR

3.4 Pending Period

• All commissions are held for 60 days from the purchase before becoming eligible for payout
• This allows for refunds, chargebacks, and fraud review
• Commissions from refunded purchases are automatically cancelled

4. Referral Tracking

4.1 Attribution Method

• A click on your affiliate link stores your code in a cookie for 30 days. If a customer clicks several affiliate links before signing up, the last one clicked counts
• The customer is attributed at sign-up, or when they enter your code within 30 days of signing up
• This first attribution is permanent; later clicks on other affiliate links do not change it

4.2 Qualifying Referrals

A referral qualifies for commission when:

• The customer clicks your unique affiliate link or uses your code
• The customer is attributed to you under Section 4.1 and pays for a purchase
• The purchase is completed and not refunded
• The customer is not you (self-referrals are prohibited)

4.3 Non-Qualifying Referrals

The following do not qualify for commissions:

• Self-referrals (purchasing through your own link)
• Referrals from immediate family members sharing the same household
• Fraudulent or incentivized referrals
• Purchases made before clicking your affiliate link

5. Payouts

5.1 Payout Threshold

• Minimum payout amount: €100
• Once your approved balance reaches the threshold, SAMI-X initiates the payout; you can also request it by email at affiliate@sami-x.com

5.2 Payout Methods

Available payout methods:

• Bank Transfer (SEPA): Direct transfer to your bank account
• PayPal: Transfer to your PayPal account
• Invoice: For business affiliates requiring invoices
• Manual: Alternative arrangements by request

5.3 Payout Currency

• All payouts are made in EUR
• Exchange rate conversions are applied at the time of commission calculation

5.4 Payout Schedule

• Payouts are initiated by SAMI-X once your approved balance reaches the minimum payout, or on your request
• Only approved commissions (past the 60-day pending period) are included
• Processing time: 5-10 business days after payout initiation

5.5 Tax Responsibility

• Affiliates are responsible for reporting and paying taxes on their earnings
• SAMI-X may request tax information as required by law
• EU affiliates may need to provide VAT information

6. Promotional Guidelines

6.1 Permitted Promotion Methods

You may promote SAMI-X through:

• Personal websites and blogs
• Social media accounts
• Email newsletters (to your own subscribers)
• YouTube and video content
• Word of mouth

6.2 Prohibited Promotion Methods

The following are strictly prohibited:

• Spam or unsolicited commercial messages
• Misleading or false advertising
• Paid search ads bidding on "SAMI-X" or related brand terms
• Pop-ups, pop-unders, or malware
• Cookie stuffing or other fraudulent techniques
• Promotion on adult, violent, or illegal content websites
• Impersonating SAMI-X or its employees
• Creating fake reviews or testimonials

6.3 Brand Guidelines

• Use official SAMI-X logos and assets only as provided
• Do not modify SAMI-X trademarks or branding
• Clearly disclose your affiliate relationship when required by law
• Do not make unauthorized claims about SAMI-X products or services

6.4 Disclosure Requirements

In accordance with applicable laws (including FTC guidelines in the US and similar regulations in the EU):

• Clearly disclose that you may earn a commission from purchases
• Use clear language such as "affiliate link" or "I may earn a commission"
• Place disclosures prominently near your affiliate links

7. Prohibited Activities

7.1 Fraud Prevention

The following activities are strictly prohibited and will result in immediate termination:

• Self-referrals or purchasing through your own link
• Creating fake accounts to generate referrals
• Using bots or automated systems to generate clicks or purchases
• Manipulating cookies or tracking systems
• Sharing affiliate codes in unauthorized ways
• Incentivizing users to use your code without genuine interest

7.2 Brand Protection

You must not:

• Disparage SAMI-X, its products, or its instructors
• Make false or misleading claims about SAMI-X
• Engage in aggressive or unethical marketing practices
• Use SAMI-X intellectual property without permission

8. Program Changes

8.1 Commission Rate Changes

• SAMI-X may modify commission rates at any time
• Changes will be communicated via email with at least 14 days notice
• Existing pending commissions are not affected by rate changes

8.2 Program Modifications

• SAMI-X may modify these terms, the Program features, or discontinue the Program
• Material changes will be communicated via email
• Continued participation after changes constitutes acceptance

9. Termination

9.1 Termination by Affiliate

• You may terminate your participation at any time
• Notify us through your account settings or by email
• Approved commissions earned before termination will be paid out

9.2 Termination by SAMI-X

SAMI-X may terminate your participation:

• For violation of these terms
• For fraudulent or unethical behavior
• At its sole discretion with 14 days notice

9.3 Effects of Termination

Upon termination:

• Your affiliate link will be deactivated
• Pending commissions from valid referrals will be reviewed and paid if legitimate
• Commissions from fraudulent activity will be forfeited
• You must cease using SAMI-X trademarks and promotional materials

10. Liability and Indemnification

10.1 Limitation of Liability

• SAMI-X is not liable for indirect, incidental, or consequential damages
• Total liability is limited to commissions earned in the previous 12 months
• SAMI-X makes no guarantees about earnings potential

10.2 Indemnification

You agree to indemnify SAMI-X against:

• Claims arising from your promotional activities
• Violations of these terms or applicable laws
• Third-party claims related to your affiliate marketing

11. Miscellaneous

11.1 Independent Contractor

Affiliates are independent contractors, not employees or agents of SAMI-X.

11.2 No Exclusivity

This agreement is non-exclusive. You may participate in other affiliate programs, and SAMI-X may have multiple affiliates.

11.3 Governing Law

These terms are governed by Austrian law. Disputes shall be resolved in the courts of Vienna, Austria.
